MyoBooks Subscription Terms

MyoBooks LLC, an ordinary Arizona limited liability company (ACC Business ID 25111625), 175 Hohokam Drive, Sedona, AZ 86336.
These terms are between you and MyoBooks LLC ("Company"). They cover what you pay for. The End-User License Agreement covers the self-host software license. Together they are the agreement for the MyoBooks subscription and license.
1. What you buy vs what you host
Company sells a subscription. That subscription is:
- billing and account status;
- updates during the paid term;
- paid features in the then-current plan;
- support as then described on the site or in a written confirmation;
- the right to those updates and paid features while the subscription is in good standing.
Company does not host the ledger. You run the app on a machine or host you control. You hold the books.
Open, read, and export on a copy you already installed are in the EULA. They are not something we take away when a card lapses.
2. Product boundary
- Tax estimates, not filing.
- We sell the license, not the ledger.
- Never e-file.
- Not a CPA.
- You host. We license.
Using MyoBooks does not make Company or Ryan Nichols your CPA, attorney, bookkeeper, or payroll provider. Selling this subscription does not make Company your law firm, CPA firm, or real-estate broker on the books. Estimates, including 1040-ES-style estimates, are estimates. You verify. You file.
Ask Myo, if you turn it on, runs on a key you configure. Company does not proxy books. It is not tax, legal, or accounting advice.
3. Fees
You pay the amount shown at checkout or on the pricing page at the time you subscribe.
Current checkout prices: $15 per month or $149 per year. If checkout shows a different amount at the time you subscribe, checkout controls. Taxes may be extra if they apply.
4. Billing, renewal, cancel, refunds
Payment is processed by Stripe. Company does not store full card numbers.
Unless checkout says otherwise, the subscription auto-renews for the same term until you cancel.
You can cancel before the renewal. Cancel stops the next charge. It does not, by itself, create a refund for time already paid.
Fees are not refundable except where a statute or other law requires a refund.
If checkout later states a fuller refund, that checkout text controls for that purchase.
5. Entitlement
A valid subscription in good standing is required for updates and paid features.
If you stop paying, or the subscription ends without a breach of the EULA:
- updates stop;
- paid features stop;
- the instance you already have still opens;
- read and export stay;
- we do not brick the instance;
- your local data stays on your machine or host.
We do not copy a model that refuses to open the company file until you resubscribe.
Evaluation licenses, if Company grants one in writing, last only for the stated window for paid features. Open, read, and export of data you already entered still follow the EULA.
6. Support (no SLA)
Support is commercially reasonable. There is no guaranteed response time, uptime, or service-level credit unless Company later states one in writing.
Company is not on the hook for your host, your backups, your imports, or a model provider you configure for Ask Myo.
7. Acceptable use of the subscription
The subscription is for you (and people in your organization who work on your books).
You may not:
- share one subscription as a public hosted service for third parties;
- resell seats as if MyoBooks were a hosted ledger you operate;
- use billing credentials you do not have the right to use;
- treat a personal subscription as a multi-tenant books product for customers of yours.
8. Changes
Company may change fees with notice before a renewal. If you do not cancel before the new term starts, paying or continuing into that term is acceptance of the new fee.
Company may change these terms. Material changes will be posted with notice. Continued use after the new term starts, or after the stated effective date, is acceptance. If you do not agree, cancel before that date.
9. Failed payment and chargebacks
If a payment fails, updates and paid features may suspend until the invoice is paid. Open, read, and export on the copy you already installed still follow the EULA. We do not brick the instance for a failed charge.
A chargeback or payment dispute may suspend or end updates and paid features. It does not let Company take books it never held. If you have a billing problem, write first: hello@myobooks.com.
10. Waitlist vs paid subscription
Joining the waitlist is not a paid subscription. It is a request for launch and price emails (see the Privacy Policy). No charge happens until you subscribe at checkout.
Waitlist is email only, plus the required checkbox: "Yes, email me MyoBooks updates from Ryan Nichols." That consent is for those emails. It is not a purchase.
11. Governing law, notices, and the rest of the deal
These terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Governing law is Arizona. Exclusive venue: the state courts in Yavapai County, Arizona.

The EULA's as-is warranty and liability cap apply to the subscription as well, unless a section of these terms is more specific on fees, cancel, or entitlement. Some states do not allow certain exclusions; those state rules still apply where they apply.
These Subscription Terms plus the EULA are the agreement. If checkout and these terms conflict on price, the amount shown at checkout at the time you subscribe controls. If they conflict on lapse (open / read / export), the EULA controls.
